Matepoints Terms & Conditions

These Terms & Conditions (“Terms”) govern the Matepoints loyalty, incentive, and rewards program (the “Matepoints Program”).
By earning, holding, redeeming Matepoints, or participating as a Matepoints merchant, you agree to be bound by these Terms.
These Terms operate in addition to Infomate’s Platform Terms & Conditions, Marketplace & Commercial Terms, Acceptable Use Policy, and Privacy Policy. In the event of any inconsistency, these Terms prevail in relation to the Matepoints Program.
1. Nature of the Matepoints Program
1.1 Program Description
Matepoints is a platform-based loyalty and incentive program operated by Infomate in connection with the Infomate platform.
The Matepoints Program:
- allows users to earn reward points (“Matepoints”) through eligible activities on Infomate, including registration, posting, engagement, participation in campaigns, or other actions determined by Infomate;
- allows users to redeem Matepoints for goods, services, vouchers, coupons, discounts, or benefits made available on the Matepoints Platform;
- provides a technical system for tracking Matepoints balances, redemptions, and merchant participation.
1.2 No Financial or Monetary Function
Matepoints is not:
- a bank, deposit-taking institution, or financial service;
- a payment service, remittance service, or stored-value facility;
- legal tender, electronic money, or a cash equivalent.
Matepoints:
- have no cash value for users;
- are not money, credit, property, or a debt owed by Infomate;
- may only be used in accordance with these Terms.
1.3 Relationship to Infomate
Participation in the Matepoints Program does not create any employment, partnership, agency, fiduciary, or contractual relationship beyond participation in the program itself.
2. Earning Matepoints
2.1 Eligible Activities
Matepoints may be earned through activities on Infomate, including but not limited to:
- account registration and maintenance;
- publishing content;
- receiving engagement (such as likes or interactions);
- participation in promotions, campaigns, or events;
- other activities designated by Infomate from time to time.
The eligibility, allocation, and quantity of Matepoints awarded are determined solely by Infomate.
2.2 No Guaranteed Accrual
Infomate does not guarantee that:
- any activity will result in Matepoints being awarded;
- Matepoints will accrue at any particular rate;
- any earning opportunity will continue to be available.
2.3 Adjustments, Reversals & Expiry
Infomate may, at its discretion:
- delay, adjust, reverse, cancel, or withhold Matepoints;
- correct errors in Matepoints balances;
- expire unused Matepoints after a specified period.
Such actions may occur where activity is fraudulent, abusive, misleading, automated, erroneous, or in breach of Infomate policies.
3. Matepoints Value & Internal Conversion
3.1 Internal Conversion Rate (Merchant Settlement Only)
For internal settlement purposes between Infomate and participating merchants only:
100 Matepoints = NZD $1.00 (the “Conversion Rate”).
3.2 No User Monetary Rights
The Conversion Rate:
- does not give users any right to redeem Matepoints for cash;
- does not represent stored monetary value;
- may be changed, suspended, or discontinued at any time.
Matepoints do not represent money, credit, or a debt owed by Infomate.
4. No Cash-Out, Transfer, or Monetisation
Matepoints are non-cash, non-transferable, and non-redeemable for money.
Users must not:
- redeem Matepoints for cash or cash equivalents;
- withdraw Matepoints as money or credit;
- exchange Matepoints for NZD or any other currency;
- sell, transfer, assign, gift, or trade Matepoints to another person;
- use Matepoints outside the Matepoints Platform.
Any attempt to monetise, cash out, or transfer Matepoints is strictly prohibited.
5. Redeeming Matepoints (Users)
5.1 Redemption Options
Users may redeem Matepoints for goods, services, vouchers, coupons, discounts, or other benefits offered on the Matepoints Platform.
Availability, quantities, eligibility, and redemption conditions are determined by Infomate or participating merchants.
5.2 Redemption Conditions
- Redemptions are subject to availability and may be limited or withdrawn;
- Matepoints used for redemption are non-refundable and non-reversible;
- Once redeemed, Matepoints are deducted immediately;
- Merchant-specific terms may apply.
5.3 No Warranty of Rewards
Infomate does not warrant the availability, quality, legality, safety, suitability, or performance of any reward.
6. Merchant Products & Services – Platform Disclaimer
6.1 Third-Party Merchant Offerings (No Platform Supply or Endorsement)
Unless expressly stated otherwise, all products, services, vouchers, coupons, or benefits made available for redemption through the Matepoints Platform are provided solely by participating third-party merchants.
In relation to third-party merchant offerings, Infomate:
- does not manufacture, supply, distribute, or deliver merchant products or services;
- does not guarantee quality, safety, legality, suitability, or fitness for purpose;
- does not endorse, verify, or approve merchant offerings;
- does not control or guarantee merchant descriptions, claims, pricing, availability, or fulfilment.
The availability of a third-party reward on the Matepoints Platform does not constitute endorsement by Infomate.
6.2 Infomate-Provided Rewards (Official Platform Offerings)
From time to time, Infomate may offer Infomate-provided rewards, including platform-issued vouchers, promotional items, digital benefits, or other goods or services expressly identified as being supplied by Infomate.
Where a reward is expressly identified as provided by Infomate:
- Infomate acts as the supplier of that specific reward only;
- Infomate’s responsibility is limited to the accurate description and provision of that reward in accordance with applicable New Zealand law;
- additional terms, conditions, limitations, or eligibility requirements may apply and will be disclosed at the time of redemption.
Infomate does not assume responsibility for third-party components, delivery services, or external providers involved in fulfilling such rewards.
6.3 Merchant Legal, Quality & Pricing Obligations
Each participating merchant warrants and agrees that all products or services offered in exchange for Matepoints:
- comply with all applicable New Zealand laws and regulations, including consumer, safety, and advertising laws;
- are of acceptable quality, fit for purpose, and accurately described;
- comply with the Consumer Guarantees Act 1993, where applicable;
- comply with the Fair Trading Act 1986, including prohibitions on misleading or deceptive conduct;
- are lawfully supplied and do not infringe third-party rights;
- are priced fairly and not materially misleading when compared to prevailing market prices;
- include all required disclosures, limitations, and conditions.
Merchants are solely responsible for honouring all redemptions and fulfilling rewards as described.
6.4 No Platform Responsibility for Pricing or Value
Infomate does not determine, control, or guarantee:
- the market value of merchant products or services;
- whether the Matepoints required represent a fair or equivalent exchange;
- whether pricing reflects discounts or savings.
Users are responsible for determining whether a redemption represents suitable value.
6.5 Consumer Claims & Disputes
Any claims, complaints, disputes, warranties, refunds, or remedies relating to merchant products or services must be resolved directly between the user and the merchant.
Infomate is not responsible for handling consumer claims, providing refunds, or enforcing merchant obligations.
Infomate may, at its discretion, assist by facilitating communication or removing merchant listings, but such assistance does not constitute acceptance of liability.
7. Merchant Participation & Settlement
7.1 Merchant Application & Approval
Businesses may apply to become a Matepoints Merchant. Approval, onboarding, listing eligibility, and participation conditions are determined solely by Infomate.
Infomate may reject, suspend, or terminate merchant participation at any time without providing reasons.
7.2 Merchant Settlement
Where Matepoints are redeemed for merchant-provided rewards:
- Infomate may settle with merchants based on the total Matepoints redeemed;
- settlement amounts are calculated using the prevailing Conversion Rate;
- settlement is conducted in NZD, subject to agreed cycles, thresholds, verification, and deductions (if any).
Infomate may withhold, delay, or adjust settlement where fraud, misuse, disputes, reversals, or compliance issues arise.
8. System Errors, Security Incidents & Adjustments
The Matepoints Program relies on software systems, databases, networks, and third-party services. Errors, interruptions, delays, inaccuracies, data loss, or security incidents may occur.
Infomate does not guarantee that Matepoints balances or redemptions will always be accurate, uninterrupted, or secure.
To the fullest extent permitted by New Zealand law, Infomate is not liable for loss, alteration, or cancellation of Matepoints resulting from:
- system errors or software bugs;
- outages or technical failures;
- hacking, cyberattacks, or unauthorised access;
- human or administrative error;
- failures of third-party service providers.
8.1 Final Determination Authority
Infomate reserves the right, at its sole discretion, to determine the correct Matepoints balance and to correct, adjust, reverse, cancel, or reinstate Matepoints. Any determination is final.
8.2 User Requests & Evidence Review
Users may submit reasonable supporting evidence for review of Matepoints discrepancies. Any adjustment is provided as a goodwill measure only and does not create entitlement, precedent, or liability.
8.3 No Financial Compensation
Infomate will not provide cash compensation, monetary refunds, or damages in relation to Matepoints.
9. Fraud, Abuse & Misuse
Users and merchants must not:
- manipulate, exploit, or game the Matepoints Program;
- create fake accounts or activities;
- use automation or scripts to generate Matepoints;
- engage in misleading, deceptive, or abusive conduct.
Infomate may cancel Matepoints, suspend or terminate accounts, void redemptions, withhold settlements, or take legal action.
10. Program Changes & Termination
Infomate may, at any time and without notice:
- modify earning rules, redemption options, eligibility criteria, or Conversion Rates;
- suspend, discontinue, or terminate the Matepoints Program;
- expire unused Matepoints.
Infomate is not liable for any loss arising from program changes or termination.
11. Limitation of Liability
To the fullest extent permitted by New Zealand law, Infomate is not liable for:
- loss or expiry of Matepoints;
- unavailability or withdrawal of rewards;
- merchant performance or non-performance;
- indirect, consequential, or economic loss.
Where liability cannot be excluded, it is limited to the minimum amount permitted by law.
12. Indemnity
Users and merchants agree to indemnify and hold harmless Infomate from all claims, losses, damages, liabilities, costs, and expenses (including legal fees) arising from:
- participation in the Matepoints Program;
- breach of these Terms;
- disputes with other users or merchants;
- breach of law or third-party rights.
13. Changes to These Terms
Infomate may update, amend, or replace these Terms from time to time.
Unless otherwise stated, the most current version of the Terms published on the Matepoints Platform will apply to all users and merchants.
By continuing to access, earn Matepoints, redeem rewards, or otherwise participate in the Matepoints Program after updated Terms are published, users and merchants are deemed to have accepted the updated Terms.
If a user or merchant does not agree to the updated Terms, their sole remedy is to cease participation in the Matepoints Program.
Infomate may notify users or merchants of material changes by reasonable means, including publication on the Matepoints Platform or other communication channels.
14. Governing Law & Jurisdiction
These Terms are governed by the laws of New Zealand. Users submit to the exclusive jurisdiction of the courts of New Zealand.
These Terms establish Matepoints as a loyalty and incentive program and not a financial, payment, or stored-value service.
